The Treaty of Amity and Economic Relations between Thailand and the United States, which promotes trade and economic cooperation, allows U.S. nationals and companies to apply for business operation certificates in Thailand. This applies to all industries listed under the Foreign Business Act, except for six specific industries reserved by the treaty. These six industries include:

  1. Transportation
  2. Shipping
  3. Trust management of assets for the benefit of others
  4. Banking involving deposit-taking services
  5. Exploitation of land or other natural resources
  6. Domestic trade related to agricultural products

Eligibility to Apply for the Certificate

1. Individual U.S. Nationals

U.S. nationals are eligible to apply for a business certificate in any category, excluding those reserved under the treaty.

Legal entities may apply for the certificate if they meet the following requirements:

2.1) The entity must be incorporated under the laws of Thailand or the United States.
2.2) The majority of the entity’s capital must be owned by U.S. nationals.
2.3) More than half of the entity’s executive directors must be either U.S. or Thai nationals.
2.4) If one executive director is authorized to sign on behalf of the company, that director cannot be from a third country.
2.5) If multiple executive directors are authorized to sign on behalf of the company, the majority must not be from a third country.
